Up to now, the interests of the small stockholders in Japan had been given little attention, and the rights of the stockholders were scarcely functioning. However stockholders' rights in Japan are undergoing a change. The reform of corporate law in Japan in 1993 shows that small stockholders as well are prepared to assert their rights. Olaf Kliesow examines the special structure of the Japanese stock corporation, focusing on the reform of corporate law and its consequences. His analysis of 102 derivative suits forms the basis for his study, in which he concludes that the simplification of the procedure of filing a suit has strengthened the position of the small stockholders in Japan considerably.
