If a corporation claims damages from its directors and officers, they bear the burden of proof. Fabian Eike Flaßhoff shows that the prevailing opinion about the object of this exonerating evidence is based on a historic translation error. The executive body only has to exculpate itself from negligence, something which has a great impact on the German Business Judgment Rule.
