In 2000, new rules on corporate demergers were introduced into Japanese law. Aimed at facilitating the restructuring efforts of Japanese enterprises, the reform is part of a broader trend towards the deregulation of Japanese corporate law. The new law, in principle, follows the European model of universal succession. This volume provides the first comprehensive analysis of the new law from a comparative perspective. In addition, Moritz Bälz considers the extent to which the reform supports the theory of an alleged global convergence of corporate laws.
