Liability for omitted or misleading capital market information is a steadily growing field of law in Germany. It consists of a multitude of provisions which coexisted rather unsystematically until now. Alexander Hellgardt forms a unified system out of these provisions. From the interaction of comparative law, economic analysis, and general tort law, he establishes a special tort law for capital markets. He shows that a main goal of capital market tort law is to ensure good corporate governance of the issuers. The author then elaborates on the consequences of this approach for several problems of capital market liability. Going through the elements of the liability claim, the author shows capital market tort law as an independent field of the law.
This book won the German Award for Studies 2009 of the Körber Foundation in Hamburg/Germany.
